1. Introduction

This Vendor Agreement (“Agreement”) is entered into between Noble Market (“Marketplace,” “we,” “us”) and the individual or business (“Vendor,” “you”) who registers to sell products on the Noble Market platform. By creating a vendor account, you agree to comply with this Agreement, our Terms of Service, and all applicable laws.

2. Vendor Eligibility

Vendors must:

•           Be at least 18 years old

•           Provide accurate business and tax information

•           Maintain an active payment account through WooPayments

•           Comply with all marketplace policies

We reserve the right to approve or deny vendor applications at our discretion.

3. Vendor Responsibilities

Vendors agree to:

•           Provide accurate product descriptions, pricing, and inventory

•           Fulfill orders promptly

•           Use the correct shipping class

•           Maintain high‑quality customer service

•           Comply with all applicable laws, including but not limited to local laws governing production

•           Avoid prohibited products

Vendors are solely responsible for their products, listings, and customer interactions.

4. Commission & Fees

Noble Market charges a 6% commission on the product price (excluding tax and shipping).

Payment processor fees (e.g., WooPayments card fees) are deducted automatically.

Vendors receive the remaining balance after fees.

No monthly vendor fees are charged at this time.

5. Shipping

Vendors must:

•           Select the correct shipping class

•           Ship orders within the stated processing time

•           Provide tracking when applicable

Failure to ship on time may result in account suspension.

6. Payouts

Payouts are handled through WooPayments and follow their standard schedule.

Vendors must maintain accurate banking information.

Noble Market is not responsible for delays caused by WooPayments or Stripe.

7. Returns & Refunds

Vendors must clearly state their return policy.

If no policy is provided, Noble Market’s default policy applies.

Vendors are responsible for handling returns, exchanges, and refunds.

8. Prohibited Products

Vendors may not sell:

•           Illegal items or items intended for use in unlawful activity

•           Counterfeit goods

•           Pornographic material or “adult” items (e.g., sex toys)

•           Hazardous materials

•           Stolen or restricted items

•           Firearms or ammunition; however, firearms accessories (holsters, tools, slings, etc.) may be sold

•           Age-restriced items (e.g., tobacco and alcohol)

Noble Market may remove listings that violate these rules.

9. Intellectual Property

Vendors must only upload content they own or have rights to use.

Copyright violations may result in immediate account termination.

10. Account Suspension & Termination

We may suspend or terminate vendor accounts for:

•           Policy violations

•           Fraudulent activity

•           Excessive customer complaints

•           Failure to fulfill orders

•           Illegal activity

Vendors may request account closure at any time.

11. Limitation of Liability

Noble Market is not liable for:

•           Vendor errors

•           Shipping delays

•           Product defects

•           Customer disputes

•           Loss of revenue

Vendors operate as independent businesses.

12. Agreement Updates

We may update this Agreement periodically.

Continued use of the platform constitutes acceptance of updated terms.

13. Approved Countries of Origin

13.1 Approved List Requirement

Vendors may only list, sell, or fulfill products that are manufactured, produced, assembled, or substantially transformed in a country included on Noble Market’s Approved Countries of Origin List (“Approved List”). The Approved List is maintained by Noble Market and may be updated periodically. (NOTE: We may approve Vendors that offer products manufactured, produced, assembled, or substantially transformed in countries NOT included on the Approved List; however, these products may not be sold through the Vendor’s store on The Noble Market. For example, if a Vendor manufactures most of its products in the United States but imports some items from China, the items manufactured in the United States may be sold on the Vendor’s store on The Noble Market but the items imported from China may NOT be sold through The Noble Market. Or if a Vendor imports some items from Japan and other items from Vietnam, the items from Japan may be sold on The Noble Market but the items from Vietnam may not.)

13.2 Requesting Additions

Vendors may request that Noble Market add a new country to the Approved List at any time. Requests will be reviewed based on ethical sourcing standards, regulatory considerations, and marketplace integrity.

13.3 Removal of Countries

Noble Market may remove a country from the Approved List no more than once per calendar year, unless required by law or regulatory action. Vendors will receive a minimum of three (3) months’ written notice before a country is removed from the Approved List.

13.4 Sell‑Through Period

During the notice period, vendors may continue to sell existing inventory sourced from the affected country. After the notice period ends, new listings or restocks from that country will no longer be permitted.

13.5 Compliance Obligation

Vendors are responsible for ensuring that all products they list comply with the Approved List requirements. Noble Market may request documentation or proof of origin at any time.

13.6 Exceptions

Noble Market may grant limited exceptions on a case‑by‑case basis for legacy inventory, artisan goods, or products with unique provenance, provided such exceptions do not conflict with legal or ethical standards.
